Terms of Service Agreement

DEFINITIONS

"TFmedia" means TFmedia Corporation, canadaTECH.INFO, TechFinance.ca, TechWire.ca, TFmedia.ca.
"Site or This Site" means canadaTECH.INFO website solely.
"User or Client" means the party utilizing TFmedia service being offered on This Site.
"Service or Services" means services being offered on This Site.
"TOS or Agreement" means this Terms of Service (TOS) Agreement between the Client and TFmedia.
"Content" and "Client Content" mean all information and materials submitted by Client to TFmedia.

ACCEPTANCE OF TERMS

TFmedia provides its services to Client on This Site, subject to the following TOS, which may be updated by TFmedia from time to time without notice to the Client. In addition, when registering for membership at This Site and using particular Services, Client shall be subject to any posted guidelines or rules applicable to such Services that may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into this TOS.

CLIENT REPRESENTATIONS AND WARRANTIES

The Client is solely responsible for the accuracy and authenticity of the Content submitted to TFmedia. Client represents and warrants to TFmedia, as follows:

• that Client has the right and is authorized to submit the Content to TFmedia for listing or distribution;
• that the Content is true and accurate;
• that the Client is not impersonating or misrepresenting any person or entity;
• that the Content does not contain any information which is libelous or illegal;

PRICES

Many of the Services on This Site are currently offered free of charge. TFmedia may change the price of these Services from time to time. The price actually charged for a specific Service will be the price in effect at the time the Service is requested.

INDEMNIFICATION

The Client agrees to indemnify and hold TFmedia, and its subsidiaries, affiliates, officers, directors, shareholders, agents, employees or other representatives, harmless from any claim or demand, made by any third party due to or arising out of Content post to or transmit through the Service.

LICENSE

Client hereby grants TFmedia a non-exclusive, royalty-free, transferable, and assignable license to store, display, reproduce, distribute the Content submitted.

NO WARRANTIES BY TFMEDIA

TFMEDIA MAKES NO WARRANTY, EXPRESS OR IMPLIED, AND NO PROMISE OR REPRESENTATION HAS BEEN MADE BY TFMEDIA REGARDING ANY SERVICES TO BE PROVIDED BY TFMEDIA.

LIMITATION OF LIABILITY

TFMEDIA'S LIABILITY SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY OR ON BEHALF OF THE CLIENT TO TFMEDIA IN CONNECTION WITH THE SERVICES OUT OF WHICH THE CLAIM BY CLIENT ARISES.

TFmedia shall not be liable for any damages including, without limitation, direct or indirect, special, incidental, moral or consequential damages, or any other damages whatsoever (even if TFmedia has been advised of the possibility of such damages and including such damages as might be incurred by third parties), arising from performance under, or failure of performance under, any provision of this TOS.
